By accessing or using the services of Vertex Automations ("Company"), you agree to be bound by these Terms of Service. Please read them carefully before engaging our services.
Vertex Automations provides AI automation services including AI website development, AI voice receptionists, marketing automation, and social media marketing. The scope of work for each engagement is defined in a separate Service Agreement or Statement of Work signed by both parties.
Fees are payable as agreed in your Service Agreement. One-time projects require a 50% deposit before work begins, with the balance due on delivery. Monthly retainers are billed in advance. All fees are in USD. Late payments may incur a 2% monthly interest charge.
Upon full payment, you own all custom deliverables created solely for your project. Vertex Automations retains ownership of our underlying tools, frameworks, and pre-existing intellectual property. We reserve the right to display completed work in our portfolio unless you request otherwise in writing.
Where a results guarantee is offered, it applies to KPIs explicitly defined in your Service Agreement for the first month of operation. The guarantee entitles you to continued service at no charge until those KPIs are met — it does not entitle you to a refund.
To the maximum extent permitted by law, Vertex Automations' total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
Either party may terminate a monthly service with 30 days' written notice. Project contracts may be terminated for material breach with 14 days' notice to cure. Fees for work completed prior to termination remain payable.
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes not resolved by mutual agreement shall be subject to binding arbitration under the AAA Commercial Arbitration Rules.
